Business Setup in Dubai for Indian Entrepreneurs
Business Setup in Dubai from India. Get complete support for company registration, licensing, taxation, and visas. Set up your UAE business smoothly with the right structure.
What this service covers
Dubai has become the default expansion city for Indian founders. Zero personal income tax, 100% foreign ownership in most sectors, and a three and a half hour flight from Mumbai make it an easier decision than most people expect. But business setup in Dubai for Indian entrepreneurs still involves real choices: which jurisdiction to pick, how much capital you actually need, what the UAE expects from your paperwork, and how you move profits back to India without breaking FEMA rules. StartRight4U helps Indian founders and NRIs handle every one of these steps, from choosing the right free zone to opening the corporate bank account.
Setting up a business in Dubai from India involves decisions around company structure, costs, documentation, taxation, remittance, and residency. Our UAE business setup services cover these key aspects to help you establish your business with the right framework from the start.
Why Indian Entrepreneurs Are Moving to Dubai
India and the UAE trade more than 85 billion dollars a year, and Indians are already the largest expatriate group in the UAE. That existing network makes Dubai easier to enter than most other markets. Here is what actually pulls Indian founders here:
Zero personal income tax on salary or dividends you draw from your UAE company.
Corporate tax stays at 9%, and only on profit above AED 375,000. Profit below that is taxed at 0%.
You can own 100% of your company in most sectors, on the mainland and in free zones, with no local sponsor required.
You can transfer 100% of your capital and profits back to India. There is no cap from the UAE side.
Dubai is a four hour flight from most Indian metros, so you can run the business without relocating permanently
Compare that to India, where a private limited company pays 25 percent corporate tax (or 22 percent under the concessional regime without exemptions), plus dividend distribution tax effects at the shareholder level, plus surcharge and cess. For a founder earning meaningful profit, the tax gap alone often pays for the entire UAE setup within the first year.
Mainland vs Free Zone vs Offshore: Which One Fits You
This is the first real decision in your business setup in Dubai, and most Indian founders get it wrong because they copy what a friend did instead of matching it to their business model.
Structure | Who It Suits | Ownership | Can Trade Locally in UAE | Physical Office Required |
Mainland | You want to sell to UAE government or local UAE clients directly | 100% foreign ownership in most activities | Yes | Yes |
Free Zone | You export services or products, run an online business, or want the fastest setup | 100% foreign ownership | No, needs a distributor or mainland branch to sell locally | Depends on free zone, some allow flexi-desk |
Offshore | You want an international holding structure, not day to day UAE operations | 100% foreign ownership | No | No, cannot operate inside UAE |
If your revenue depends on UAE based clients, government contracts, or walk-in retail, mainland is usually the right call. If you run a consultancy, e-commerce brand, IT services company, or export business that sells outside the UAE, a free zone is faster to set up and often cheaper.
Step by Step Process for Business Setup in Dubai
1. Pick your business activity. The UAE licenses activities individually. Your activity determines the authority, the license type, and the cost.
2. Choose your jurisdiction. Mainland, free zone, or offshore, based on the table above.
3. Reserve your trade name. Submit to the Department of Economy and Tourism for mainland, or the free zone authority for free zone companies.
4. Apply for initial approval. This confirms the UAE government has no objection to you starting the business.
5. Draft the Memorandum of Association. Required for LLCs and most company structures, this sets out shareholding and business scope.
6. Secure your office or flexi-desk. Mainland companies need a physical Ejari-registered office. Most free zones allow a flexi-desk or shared workspace for the starting license.
7. Pay the license fee and receive your trade license. This is the point where your company legally exists in the UAE.
8. Apply for your investor or partner visa. This is what lets you live and work in the UAE under your own company.
9. Open your corporate bank account. UAE banks run their own compliance checks on Indian applicants, so this step needs the right documentation the first time.
Free zones can compress steps 3 through 7 into a single package, which is why most first time Indian founders start there.
Documents Required From India
Business setup in Dubai for Indian applicants needs a specific set of documents, and missing even one causes delays of two to three weeks. Keep these ready before you start:
Original passport copy with at least six months validity remaining.
Passport size photograph on a white background, per UAE visa specifications.
Proof of current residential address in India, a recent utility bill or bank statement works.
Personal bank statement for the last three to six months, required by most UAE banks during account opening.
PAN card copy, requested by several banks for KYC even though it is not a UAE government requirement.
Business plan, only required by select free zones and for activities that need additional approvals.
No Objection Certificate, only if you currently hold a UAE residence visa under another sponsor. Not required if you are applying fresh from India.
Tourist visa entry stamp or visa copy, if you plan to visit the UAE for biometrics, Emirates ID, or in-person bank account opening. Some banks still require your physical presence for account opening, even though the company registration itself can often be completed remotely.
Cost of Business Setup in Dubai
The cost depends on the type of UAE business licence you choose.
Licence Type | Starting Cost |
Mainland Licence | AED 15,000 |
Free Zone Licence | AED 5,555 |
Offshore Licence | AED 8,000 |
The final cost may vary based on your business activity, jurisdiction, visa requirements and office setup.
Timeline From Application to Trade License
Free zone company formation: 3 to 10 business days once documents are complete.
Mainland company formation: can be completed in as little as 72 hours with all paperwork ready, though most cases take 5 to 10 business days due to approvals from additional authorities.
Investor visa, after license issuance: 5 to 10 business days for stamping and Emirates ID processing.
Corporate bank account: 2 to 4 weeks, banks run compliance checks independently of company registration timelines.
Plan for four to six weeks for your business setup in Dubai, from your first document submission to a fully operational company with a working bank account.
Corporate Tax: India vs UAE
Factor | India | UAE |
Personal income tax | Up to 30% plus surcharge and cess | 0% |
Corporate tax | 25% to 30% depending on turnover and regime | 0% up to AED 375,000 profit, 9% above that |
Dividend tax at shareholder level | Taxed as per individual slab rate | 0% |
Capital gains on business sale | 20% long term, higher for short term | 0% in most cases |
Repatriation of profit abroad | Subject to FEMA and RBI reporting | 100% repatriation allowed, no cap |
Small Business Relief can take your tax bill to zero. If your UAE resident company's gross revenue stays at or below AED 3 million in a tax period, you can elect Small Business Relief and be treated as having no taxable income for that period, regardless of your actual profit margin. This bypasses the AED 375,000 net profit threshold entirely. The Ministry of Finance extended this relief to tax periods ending on or before 31 December 2029, so most early-stage Indian founders have a long runway to use it.
Sending Money Back to India: FEMA and Remittance Rules
If you are funding your UAE company from India as an individual, you operate under the RBI's Liberalised Remittance Scheme. The LRS limit is USD 250,000 per resident individual per financial year, running from April to March. This limit is cumulative across every purpose, including business investment, property purchase, education, and travel, and it resets every April 1 with no carry forward. The cap is tracked against your PAN across every bank, so splitting remittances across multiple banks does not increase your limit.
If two founders are setting up jointly, that gives you combined access to USD 500,000 per year through individual LRS remittances.
If your funding need is larger than the LRS cap, or if an existing Indian company (not an individual) wants to invest in the UAE entity, you move to the Overseas Direct Investment route under FEMA. ODI requires filing through your Authorised Dealer bank and, depending on the structure, separate RBI reporting. This route has no fixed cap like LRS but comes with more documentation and compliance obligations.
Two rules to remember:
You cannot use LRS funds to invest in a UAE company that then reinvests that money back into India. This is called round tripping and it is explicitly barred under FEMA.
Exceeding the USD 250,000 LRS cap without RBI approval is a FEMA violation, not a tax issue, and penalties can run up to three times the amount involved.
UAE Golden Visa: Long-Term Residency Without Giving Up Your Indian Passport
The UAE does not offer citizenship to foreign investors, but the Golden Visa gives Indian entrepreneurs something close to it: long-term, renewable residency tied to your business, while you keep your Indian passport. There is no dual citizenship requirement or conflict, since this is a residency visa, not a nationality change.
Four routes apply to business owners and founders:
Startup founder route: an innovative project valued at AED 500,000 or more, endorsed by an accredited UAE business incubator. Grants a 5-year renewable visa.
SME owner route: a UAE-registered business generating annual revenue of AED 1 million or more. Grants a 5-year renewable visa.
Business investor route: company capital of AED 2 million or more. Grants a 10-year renewable visa.
Tax contributor route: a company paying AED 250,000 or more per year in combined federal taxes (corporate tax, VAT, and excise) to the UAE Federal Tax Authority. Grants a 10-year renewable visa.
Processing typically takes 30 to 90 days depending on the route and how complete your documentation is. Government fees for the entrepreneur route usually fall between AED 3,000 and AED 4,000 per applicant, separate from your business setup costs.
For most first-time Indian founders, the startup founder route is the realistic entry point, since AED 500,000 is a far lower bar than the AED 2 million investor threshold.
Common Mistakes Indian Entrepreneurs Make During Business Setup in Dubai
Choosing a free zone based on price alone. The cheapest free zone license often restricts your visa quota or the activities you can legally perform. Match the free zone to your business activity, not just the sticker price.
Ignoring the LRS limit until the transfer gets rejected. Confirm your funding route before you start incorporation, not after your bank flags the remittance.
Underestimating bank account timelines. Company registration can finish in a week. Bank account approval regularly takes three to four weeks longer, and delays here stall your entire launch.
Skipping the Golden Visa conversation at setup stage. Structuring your company capital and revenue correctly from day one makes Golden Visa eligibility straightforward later. Retrofitting it after the fact is harder and slower.
Not budgeting for corporate tax registration. Every UAE company, regardless of profit level, must register for corporate tax with the FTA. Missing this deadline results in penalties even if your actual tax owed is zero.

Common questions.
Yes. Indian nationals can own 100 percent of a UAE company in most business activities, both mainland and free zone, without a local UAE sponsor.
Most free zone company registrations can be completed remotely. However, several UAE banks require your physical presence for corporate bank account opening and biometric registration for your Emirates ID.
As an individual, you can remit up to USD 250,000 per financial year under the RBI's Liberalised Remittance Scheme. Larger amounts or funding from an existing Indian company requires the Overseas Direct Investment route.
Corporate tax applies at 0 percent for profit up to AED 375,000, and 9 percent on profit above that threshold. Even businesses paying 0 percent tax must still register with the Federal Tax Authority.
Yes, if your gross revenue is at or below AED 3 million. Small Business Relief lets you elect to be treated as having no taxable income for that period, regardless of your profit margin. You must claim it on your return every year, and it is not available to Qualifying Free Zone Persons.
Yes. The Golden Visa's startup founder route requires a project valued at AED 500,000 with incubator endorsement and does not require any property purchase.
A free zone company is typically the fastest route, with registration completed in 3 to 10 business days once your documents are ready.
It covers trade name reservation, initial approval, your license, an office or flexi-desk, your investor visa, and your corporate bank account. A complete business setup in Dubai gets all six pieces working together, not just the trade license.
