The UAE introduced a federal Corporate Tax regime effective for financial years starting on or after 1 June 2023, applying a standard rate of 9% on taxable profits above a set threshold (AED 375,000), with profits at or below that threshold taxed at 0%. Registration with the Federal Tax Authority (FTA) is mandatory for taxable persons, including most Mainland and Free Zone companies.
Who Needs to Register?
- UAE Mainland companies conducting business activities
- Free Zone companies, including those that may qualify for the 0% Qualifying Free Zone Person regime on qualifying income
- Branches of foreign companies operating in the UAE
- Certain individuals conducting business activities under a licence, above the specified threshold
Free Zone Companies and Corporate Tax
Free zone companies can potentially benefit from a 0% rate on qualifying income if they meet the conditions to be treated as a "Qualifying Free Zone Person" — broadly, maintaining adequate substance in the UAE, earning qualifying income, and meeting other FTA-specified conditions. Non-qualifying income is taxed at the standard rate. Given the complexity of qualifying conditions, professional guidance is strongly recommended.
Registration Process
1. Create an account on the FTA's EmaraTax portal.
2. Submit your trade licence and company details.
3. Provide shareholder and financial information as required.
4. Receive your Tax Registration Number (TRN) upon approval.
Ongoing Compliance
Once registered, businesses must file annual Corporate Tax returns, maintain proper accounting records, and — depending on size and structure — may need audited financial statements. Registration deadlines are generally tied to your trade licence issuance date, so timely registration matters to avoid penalties.
